1. Acceptance of Terms

Welcome to Toroping Group. By accessing or using our corporate website at toroping.com, or any products and services offered by our brands (SUNMORI, TRIBE), you agree to be bound by these Terms of Service. If you do not agree, please discontinue use of our services.

2. Definitions

• "Toroping Group" refers to the holding company and its brands, SUNMORI and TRIBE.
• "Services" refers to our websites, applications, membership programs, marketplace, and commerce platforms.
• "User" refers to any individual who accesses or uses our Services.
• "Member" refers to a registered user of SUNMORI or TRIBE programs.
• "Seller" refers to an independent seller operating on the TRIBE marketplace.

3. Use of Services

You agree to:

• Provide accurate and complete information when registering an account.
• Maintain the confidentiality of your account credentials.
• Use our Services only for lawful purposes and in compliance with all applicable laws.
• Not engage in fraudulent activity, abuse of loyalty programs, or unauthorized reselling.
• Not attempt to disrupt, reverse-engineer, or compromise the security of our platforms.

4. Membership & Loyalty Programs

SUNMORI and TRIBE operate membership programs with loyalty points, referral rewards, and tier-based benefits. Points have no cash value and may expire according to program terms. We reserve the right to modify or terminate loyalty programs, point values, and reward structures at our discretion. Abuse of referral or rewards systems may result in account suspension and forfeiture of points.

5. Marketplace & Seller Terms

TRIBE operates a marketplace enabling independent sellers to list and sell products. Sellers are responsible for the accuracy of their listings, product quality, fulfillment, and compliance with applicable regulations. Toroping Group acts as a platform provider and is not a party to transactions between sellers and buyers, except where explicitly stated.

6. Payments

Payments are processed through our authorized payment partners (e.g., Stripe). By making a purchase, you authorize us to charge your selected payment method. Subscription fees for sellers are billed on a recurring basis until cancelled. Refunds and cancellations are subject to the specific policies of each brand.

7. Intellectual Property

All content, branding, logos, and materials on our websites and platforms are the property of Toroping Group or its licensors. SUNMORI, TRIBE, and Toroping Group names and logos are protected trademarks. You may not use our intellectual property without prior written consent.

8. Limitation of Liability

Toroping Group and its brands shall not be liable for indirect, incidental, or consequential damages arising from your use of our Services. Our total liability for any claim shall not exceed the amount you have paid us in the preceding three (3) months.

9. Termination

We may suspend or terminate your access to our Services at any time, with or without cause or notice, including for violations of these Terms. Upon termination, your right to use our Services will cease immediately.

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Republic of Singapore, without regard to conflict of law provisions.
